Easily manage the movement of shares between holdings to maintain an up-to-date and accurate ownership records

Overview

Transferring shares between shareholders is a fundamental task for managing corporate records. Athennian simplifies this process, whether moving shares between one shareholder and another, or distributing shares from one shareholder to multiple shareholders, or vice versa.

Transfer Shares from One Holding to Another Holding

Follow these steps to transfer shares from a single existing shareholder to another shareholder (either existing or new).

  1. Navigate to the profile of the Entity whose shares require transfer

  2. Navigate to the Securities > Ownership section

  3. In the Transactions tab, select the blue + New button in the top right-hand corner

  4. In the New Transactions modal that appears, select Transfer and the Transfer modal will apear

  5. Fill in the mandatory Transaction Date* and Resolution Date

    • Note: If these dates are not yet available, check off Blank Transaction Date/Blank Resolution Date and fill them in at a later time

    • Note: If Blank Transaction Date is checked off, underlines will appear in the documents when generating them where the dates would have appeared

  6. Enter the Number of shares* to transfer, as well as the Price per share* and Currency

    • Note: The number of shares to be transferred from the certificate(s) must match the Number of shares* entered in the Amount section (a warning will appear notifying of the required balance)

  7. In the Holdings Selection tab, In the From section, select the holding transferring the shares

  8. In the To section, choose one of the following:

    • Select Create New Holding to add a new shareholder

    • Select Select from an Existing Holding to select an existing shareholder to transfer the shares to

  9. If adding a new shareholder with multiple addresses listed in the database, select the address of the new shareholder

  10. Confirm the certificate issuance details in the Certificate tab

  11. Review all of the transfer details in the Preview tab

  12. Select Create

  13. Generate the supporting Documents


Transfer Shares from One Holding to Two Holdings

Follow these steps to transfer shares from a single existing shareholder to two separate shareholders (either existing or new). This requires two separate Transfer transactions.

First Transfer

  1. Navigate to the profile of the Entity whose shares require transfer

  2. Navigate to the Securities > Ownership section

  3. In the Transactions tab, select the blue + New button in the top right-hand corner

  4. In the New Transactions modal that appears, select Transfer and the Transfer modal will apear

  5. Fill in the Transaction Date* and Resolution Date

    • Note: If these dates are not yet available, check off Blank Transaction Date/Blank Resolution Date and fill them in at a later time

    • Note: If Blank Transaction Date is checked off, underlines will appear in the documents when generating them where the dates would have appeared

  6. Enter the Number of shares to transfer to the first shareholder, as well as the Price Per Share and Currency

  7. In the From section, select the shareholder transferring the shares

  8. In the From section, also select the certificate from which to transfer the shares

    • Note: The number of shares to be transferred from the certificate(s) must match the Number of Shares* entered in the Amount section (a warning will appear notifying of the required balance)

  9. In the From section, check off the Leave balance on certificate box to leave the balance of the shares on the original certificate

  10. In the To section, choose one of the following for the first shareholder:

    • Select Create a new holding to add a new shareholder

    • Select Select from an existing holding to select an existing shareholder

  11. If adding a new shareholder with multiple addresses listed in the database, select the address of the new shareholder

  12. Confirm the certificate issuance details in the Certificate Issuance tab

  13. Review all of the transfer details in the Preview tab

  14. Select Create

  15. Generate the supporting Documents

Second Transfer

  1. Repeat steps 1 through 8 of the "First Transfer" section for the second shareholder

  2. In the To section, choose one of the following for the second shareholder:

    • Select Create a new holding to add a new shareholder

    • Select Select from an existing holding to select an existing shareholder

  3. If adding a new shareholder with multiple addresses listed in the database, select the address of the new shareholder

  4. Confirm the certificate issuance details in the Certificate Issuance tab

  5. Review all of the transfer details in the Preview tab

  6. Select Create

  7. Generate the supporting Documents


Transfer Shares from Two Holdings to One Holding

Follow these steps to transfer shares from two existing shareholders to a single receiving shareholder (either existing or new). This requires two separate Transfer transactions.

First Transfer

  1. Navigate to the profile of the Entity whose shares require transfer

  2. Navigate to the Securities > Ownership section

  3. In the Transactions tab, select + New

  4. In the New Transactions modal that appears, select Transfer and the Transfer modal will apear

  5. Fill in the Transaction Date and Resolution Date

    • Note: If these dates are not yet available, check off Blank Transaction Date/Blank Resolution Date and fill them in at a later time

    • Note: If Blank Transaction Date is checked off, underlines will appear in the documents when generating them where the dates would have appeared

  6. Enter the Number of shares* to transfer from the first shareholder, as well as the Price Per Share* and Currency

    • Note: The number of shares to be transferred from the certificate(s) must match the Number of Shares entered in the Amount section (a warning will appear notifying of the required balance)

  7. In the From section, select the Holding transferring the shares

  8. In the To section, choose one of the following for the single receiving shareholder:

    • Select Create a new holding to add a new shareholder

    • Select Select from an existing holding to select an existing shareholder

  9. If adding a new shareholder with multiple addresses listed in the database, select the address of the new shareholder

  10. Confirm the certificate issuance details in the Certificate tab

  11. Review all of the transfer details in the Preview tab

  12. Select Create

  13. Generate the supporting Documents

Second Transfer

  1. Repeat steps 1 through 7 of the "First Transfer" section, selecting the second shareholder Holding in step 7

  2. In the To section, select Select from an existing holding and select the shareholder who received the shares in the previous steps

  3. In the same section, check off Add to existing certificate and select the certificate issued pursuant to the first transfer

    • This will allow the transfer of shares to that same certificate

  4. Confirm the certificate issuance details in the Certificate Issuance tab

  5. Review all of the transfer details in the Preview tab

  6. Select Create

  7. Generate the supporting Documents
