Learn how to record a Rollover in Athennian!

Step 1: Transfer shares pursuant to the rollover transaction

  1. Navigate to the profile of the entity for which you would like to do a Rollover transaction;

  2. Navigate to the Securities > Shares section down the lefthand side of the screen;

  3. In the Transactions tab, select + New - a list of various transactions will appear;

  4. Select Transfer from the list of transactions - a workflow will open up;

  5. Fill in the Transaction Date and Resolution Date; if you do not yet have these dates, check off Blank Transaction Date/Blank Resolution Date and fill them in at a later time - note: if you check off Blank Transaction Date, underlines will appear in the documents when you generate them where the dates would have appeared;

  6. In the Select Type field, select Rollover;

  7. Enter the Number of shares you wish to transfer pursuant to the rollover transaction - note: you do not need to enter a price per share;

  8. In the From section, select the shareholder who is transferring its shares pursuant to the rollover transaction;

  9. Check off the certificate from which the shares are being transferred, and enter the amount of shares on the line directly under the certificate number - the amount you enter here should match the amount entered in the Number of shares section;

  10. In the To section, make sure to set the shareholder type to Entity, then select +Shareholder and select the shareholder who will be acquiring the shares pursuant to the rollover transaction;

  11. Enter the remaining information in the other tabs and then select Transfer to create the transaction - you will see the rollover transaction in the list of transactions;

  12. Do not set the transaction to Confirmed yet, you will do this at a later step.

Step 2: Issue shares pursuant to the rollover transaction

  1. Once the first transfer transaction is done, navigate to the profile of the entity that acquired the shares in the previous transaction;

  2. Navigate to the Securities > Shares section down the lefthand side of the screen;

  3. In the Transactions tab, select + New - a list of various transactions will appear;

  4. Select Issuance from the list of transactions - a workflow will open up;

  5. Fill in the Transaction Date and Resolution Date; if you do not yet have these dates, check off Blank Transaction Date/Blank Resolution Date and fill them in at a later time - note: if you check off Blank Transaction Date, underlines will appear in the documents when you generate them where the dates would have appeared;

  6. In the Select Type field, select Rollover;

  7. Enter the Number of shares you wish to issue pursuant to the rollover transaction - note: you do not need to enter a price per share;

  8. In the 2. Shareholding tab, make sure to set the shareholder type to either Person or Entity, depending on who/what the shareholder is, then select +Shareholder and select the shareholder who will be issued shares pursuant to the rollover transaction;

  9. Enter the remaining information in the other tabs and then select Draft to create the transaction - you will see the rollover transaction in the list of transactions;

  10. Do not set the transaction to Confirmed yet, you will do this at a later step.

Step 3: create a task in each of the entities to generate the supporting documents and update the transactions to confirmed

  1. Navigate to the Tasks section of the entity whose shares were transferred in the first step;

  2. Select +New to create a new task, add a Memo Description to the task, and select Share Transactions in the task Type;

  3. In the 2. Share Transactions tab, add the Transaction Date, and then select +Transactions to add the rollover transaction (the status of this transaction should be set to Pending) - make sure to include both the Cancelled and Issued share certificates involved in the transaction;

  4. Select Add to add the transactions to the task and then navigate to the 3. Supporting Documents tab;

  5. Select +Supporting Documents to add the applicable documents to the transaction;

  6. Select Create to create the task, and then select Generate documents to generate the applicable documents - Note: depending on your documents template you may be presented with a custom prompt.

  7. Once the documents are prepared, signed, converted to PDF and then moved to the Minute Book, navigate back to the task you created and set the task status to Completed;

  8. Once you select the Completed status, you will be prompted to update the transaction/certificate dates and statuses - check off the applicable boxes and close the task;

  9. Navigate to the Tasks section of the entity whose shares were issued in the second step and then repeat steps 2 through 8 for that entity.
